Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "User") and Motiontelligent (operated by Hive Endeavors, LLC) ("Motiontelligent," "we," "us," or "our") governing your access to and use of the Motiontelligent website, applications, APIs, and related services (collectively, the "Service"). By accessing, registering for, or using the Service, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS, INCLUDING A BROAD GRANT OF RIGHTS TO US IN YOUR CONTENT AND ANY GENERATED OUTPUTS (SECTION 7), DISCLAIMERS OF WARRANTIES (SECTION 12), A LIMITATION OF LIABILITY (SECTION 13), AN INDEMNIFICATION OBLIGATION (SECTION 14), AND A BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER (SECTION 17) THAT AFFECT HOW DISPUTES ARE RESOLVED.

1.Eligibility & Acceptance

  • You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract.
  • If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "you" includes that entity.
  • You agree to comply with these Terms, our Acceptable Use Policy (Section 5), and all applicable laws and regulations.
  • We may require acceptance of updated Terms as a condition of continued use.

2.Definitions

  • "Input" means any prompt, text, instruction, URL, brand name, script, reference video, image, audio, parameter, or other material you submit to or through the Service.
  • "Output" means any content the Service generates or returns in response to your Input, including scripts, ad copy, images, video clips, stitched videos, voiceovers, captions, analyses, and concepts.
  • "User Content" means Inputs and Outputs together with any other material you upload, create, store, or transmit through the Service.
  • "Providers" means the third-party artificial-intelligence, media, hosting, and data services we use to operate the Service (see Section 8).
  • "Platform IP" means the Service and all software, models and model orchestration, pipelines, prompt engineering and templates, the visual-style library, user interface, designs, text, graphics, trademarks, and documentation, and all intellectual property therein.

3.The Service

Motiontelligent is an AI-assisted creative studio that helps you research, script, voice, storyboard, generate, stitch, caption, and write copy for short-form video advertisements. The Service orchestrates third-party AI Providers and tools to produce Outputs from your Inputs.

The Service is provided on an evolving basis and may include experimental, beta, or pre-release features. We may add, change, suspend, limit, or discontinue any part of the Service at any time without liability. We do not guarantee that the Service, or any Output, will be available, uninterrupted, accurate, complete, original, non-infringing, or fit for any particular purpose.

4.Accounts, Access & Security

  • Access to the Service may be protected by a shared password or other credentials. You are responsible for maintaining the confidentiality of any credentials and for all activity that occurs under your access.
  • You may not share, sell, sublicense, or transfer your access, or permit access by unauthorized persons.
  • You must promptly notify us of any actual or suspected unauthorized use or security breach.
  • Local profiles, libraries, and synced data are conveniences, not guarantees of preservation; you are responsible for maintaining your own backups of anything you value (see Section 12).

5.Acceptable Use

You agree not to use the Service, and not to permit anyone to use the Service, to:

  • violate any law, regulation, third-party right, or Provider policy;
  • create, upload, or distribute content that is unlawful, infringing, defamatory, fraudulent, deceptive, obscene, harassing, hateful, or that promotes violence or illegal activity;
  • generate or distribute deceptive advertising, false claims, or content that violates advertising, consumer-protection, or platform rules (including those of Meta, TikTok, Google, YouTube, and similar platforms);
  • create synthetic or "deepfake" depictions of real, identifiable individuals (including their voice or likeness) without all necessary rights and consents;
  • infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, publicity, privacy, or other right;
  • upload personal data of others without a lawful basis and required consents;
  • reverse engineer, decompile, scrape, or attempt to derive source code, models, weights, or prompts from the Service, except as permitted by non-waivable law;
  • use the Service or any Output to train, develop, or improve any competing model, product, or service, or to build a dataset for such purposes;
  • circumvent, disable, or interfere with security, rate limits, usage limits, or access controls; or
  • introduce malware, overload, or otherwise disrupt the Service or its infrastructure.

We may, at our sole discretion and without notice, remove content, throttle or restrict usage, investigate suspected violations, cooperate with law enforcement, and suspend or terminate access for any conduct we believe violates these Terms or is otherwise harmful.

6.Your Content & Your Responsibilities

You are solely responsible for your User Content and for your use of all Outputs. You represent and warrant that:

  • you own or have all rights, licenses, consents, and permissions necessary to submit your Inputs and to use the Outputs as you intend, including rights in any brand assets, landing pages, reference videos, images, names, and likenesses you provide or reference;
  • your Inputs and your use of Outputs do not and will not infringe or violate any third-party right or any law, including advertising, intellectual-property, privacy, and publicity laws;
  • you will independently review every Output before any public, commercial, or advertising use, and you assume all risk arising from such use; and
  • you will comply with the terms, policies, and acceptable-use rules of every Provider whose technology generates or processes your User Content.

7.Intellectual Property; License Grants; Ownership of Outputs

7.1 Our Platform IP

As between you and us, we and our licensors exclusively own all right, title, and interest in and to the Platform IP, including all intellectual-property rights therein. Nothing in these Terms transfers or grants you any ownership of, or any right or license in, the Platform IP except the limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved by us.

"Motiontelligent," our logos, and other names and marks are our trademarks. You may not use them without our prior written permission. You may not remove, obscure, or alter any proprietary notices.

7.2 Feedback

If you provide any feedback, ideas, suggestions, or improvements regarding the Service ("Feedback"), you hereby irrevocably assign to us all right, title, and interest in such Feedback, or, to the extent assignment is not permitted, grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use it for any purpose without restriction or compensation to you.

7.3 License You Grant to Us

You retain whatever ownership rights you hold in your Inputs. To operate and improve the Service, you hereby grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to host, store, reproduce, modify, adapt, translate, create derivative works from, publicly perform and display, process, transmit, and otherwise use your User Content (including Inputs and Outputs) in order to: (a) provide, maintain, secure, and support the Service; (b) develop, train, fine-tune, evaluate, and improve our and our Providers' features, models, and offerings; (c) generate aggregated and de-identified analytics and statistics; and (d) comply with law. We may also use de-identified or aggregated data for any lawful purpose. This license survives termination with respect to User Content retained in backups, logs, derived models, or aggregated form.

7.4 Outputs

Outputs are generated by artificial intelligence and third-party Providers and may not be unique to you. Subject to your full compliance with these Terms, the license in Section 7.3, and all applicable Provider terms, we assign and/or grant to you whatever rights we hold (if any) in the specific Outputs generated for your account, so that you may use those Outputs for your lawful purposes. This allocation is made expressly subject to the following:

  • We make no representation or warranty that any Output is original, protectable by copyright or other intellectual-property right, owned by us or you, or free of third-party rights; AI-generated content may not be eligible for copyright protection and may resemble or coincide with content generated for other users or with pre-existing works.
  • Because Outputs are non-exclusive, identical or substantially similar Outputs may be generated for, and used by, other users; you obtain no exclusivity in any Output.
  • Your rights in Outputs are subject to, and may be limited by, the terms of the Providers whose technology produced them (Section 8).
  • We retain the license granted in Section 7.3 in all Outputs, and we and our Providers retain all rights in the underlying models, systems, and Platform IP used to generate them.
  • We may decline to assign, or may revoke any assignment of, rights in Outputs associated with conduct that violates these Terms.

7.5 Copyright Complaints (DMCA)

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act and maintain a policy of terminating, in appropriate circumstances, users who are repeat infringers. To submit a notice, contact our designated copyright agent — Copyright Agent, Hive Endeavors, LLC, 3575 Long Beach Blvd, Long Beach, CA 90807, legal@motiontelligent.com — with the information required by 17 U.S.C. § 512(c)(3). Misrepresentations may subject you to liability.

8.Third-Party Providers & Services

The Service relies on third-party Providers, which may include (without limitation) Vercel (hosting and storage), Anthropic (Claude), Google (Gemini), fal.ai, ElevenLabs, Higgsfield, and Foreplay. When you use the Service, your Inputs and User Content may be transmitted to and processed by these Providers, and your use of the resulting Outputs may be governed by their terms and policies.

  • We do not control and are not responsible for Providers, their availability, their outputs, their data practices, or their compliance with law.
  • You are responsible for reviewing and complying with applicable Provider terms.
  • We may add, remove, or change Providers at any time without notice.
  • Links or integrations to third-party sites or services are provided for convenience and do not constitute endorsement; your use of them is at your own risk and subject to their terms.

9.Fees, Credits & Usage Costs

Certain features rely on paid third-party Providers and incur usage costs. Unless otherwise agreed in writing, you are responsible for all costs, credits, and fees attributable to your use of the Service and any connected Provider accounts or API keys. Any cost figures shown in the Service are estimates for convenience only and may be inaccurate; they are not invoices and do not limit amounts actually charged by Providers. Fees are non-refundable except where required by law.

10.Beta & Evolving Features

Features identified as beta, experimental, preview, or similar are provided "AS IS" for evaluation, may be changed or withdrawn at any time, may be unstable, and may not perform as intended. We have no obligation to provide support, maintenance, or continuity for such features.

11.Suspension & Termination

We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and for any reason (including suspected violation of these Terms), with or without notice, and without liability. You may stop using the Service at any time. Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive—including Definitions, Intellectual Property and License Grants (Section 7), Disclaimers (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 17), and Miscellaneous (Section 18)—survive termination. We are not obligated to retain or return your User Content after termination and may delete it.

12.Disclaimers of Warranties

THE SERVICE, ALL OUTPUTS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR LICENSORS AND PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE, RELIABLE, COMPLETE, ORIGINAL, NON-INFRINGING, OWNED BY YOU, OR SUITABLE FOR ANY USE. AI SYSTEMS CAN PRODUCE INCORRECT, OFFENSIVE, BIASED, OR INFRINGING OUTPUTS. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING ALL OUTPUTS BEFORE RELYING ON OR PUBLISHING THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME MAY NOT APPLY TO YOU.

13.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY OUTPUT, OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

14.Indemnification

You agree to defend, indemnify, and hold harmless Motiontelligent and its affiliates, officers, directors, employees, agents, licensors, and Providers from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Inputs, User Content, or use of any Output; (b) your use of or access to the Service; (c) your violation of these Terms or any law or third-party right (including intellectual-property, publicity, privacy, advertising, and consumer-protection rights); or (d) any advertising or other content you create, publish, or distribute using the Service. We may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate.

15.Changes to the Terms

We may modify these Terms at any time by posting the updated Terms and revising the "Last updated" date. Material changes may be communicated by reasonable means. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the changes, you must stop using the Service.

16.Governing Law; Dispute Resolution; Arbitration; Class Waiver

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, the exclusive venue for any permitted court action will be the state and federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

PLEASE READ THIS SECTION CAREFULLY—IT AFFECTS YOUR RIGHTS. Except for claims that may be brought in small-claims court and requests for injunctive relief to protect intellectual property, you and we agree to resolve any dispute arising out of or relating to the Service or these Terms by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules. The arbitration will be conducted in Los Angeles County, California (or by videoconference), and judgment on the award may be entered in any court of competent jurisdiction.

CLASS-ACTION WAIVER: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims. If this class-action waiver is found unenforceable, then the entirety of this arbitration provision will be null and void as to such claims. Where arbitration is not permitted by applicable law, the foregoing venue and jury-trial-waiver provisions apply.

17.Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
  • No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Export & Sanctions: You represent that you are not located in, and will not use the Service in, any jurisdiction subject to applicable embargoes or sanctions, and that you are not on any restricted-party list.
  • Notices: We may provide notices through the Service or by other reasonable means.
  • No Agency: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship.
